Profit-Participating Loans: Returns Linked to Profit

In the profit-participating loan, the lender is involved in success – a flexible instrument between credit and participation, typical of mezzanine structures.

Last updated: 18 July 2026 · Reviewed by Jürgen Kronawitter

In brief: An profit-participating loan is a loan in which the lender receives a share in the profit or turnover of the project financed instead of or in addition to a fixed rate. It remains a debtor without a shareholder and bears no loss share. In real estate finance, it is a common design of mezzanine capital.

How does a profit-participating loan work?

The remuneration typically consists of two components: a (reduced) basic interest rate and a performance-related participation – about X % of the project profit after defined settlement. The lender receives information and control rights, but no participation in the management and no creation of a shareholder. Thus, the property developer remains master of its project, while the lender participates in the added value – economically related to the Equity kicker.

Delineation: silent partnership and subordinated loan

  • On the Silent Society: The silent partner pursues a common purpose and regularly bears losses; the shareholder lender is a pure lender with profit sharing. The delimitation has tax and supervisory consequences and belongs in expert contract drafting.
  • To: Subordinated loans: profit-participating loan are almost always subordinated in real estate structures – “partial subordinated loan” combines both elements: subordination plus profit participation.

Use in real estate practice

For property developers, the profit-participating loan is interesting if the ongoing liquidity is to be spared: The low basic interest relieves the construction phase, the success component is only due at the exit. lenders – often family offices and debt funds – appreciate the combination of credit collateral and upside. We structure shareholder tranches as a building block of Mezzanine financing and make fixed-interest, shareholder and kicker models economically comparable in the investor comparison – basics for this also in the guidebook Mezzanine interest rates.

Frequently asked questions

profit-participating loan – briefly answered

Does the shareholder lender bear losses?

No – that distinguishes him from the silent partner. He bears the credit risk (default of the loan), but does not participate in ongoing losses and is entitled to repayment of the nominal amount.

How high is the profit share usually?

This is a matter for negotiation and depends on the base rate, rank and project risk. Models in which a reduced fixed interest rate is combined with a participation in the project profit in the low double-digit percentage range are common.

Is a profit-participating loan supervisory relevant?

Depending on its structure and the investors involved, the arrangement can trigger prospectus or licensing requirements, for example under Germany’s Asset Investment Act (Vermögensanlagengesetz) or Banking Act (KWG). Professional structures therefore require legal support.
