What variants of the equity kicker are there?
- Real Equity Kicker: The capital provider receives, or has an option to acquire, an actual shareholding in the project company, with the associated shareholder rights.
- Virtual Equity Kicker: participation in profit or in the increase in value, without real shares – the most common form in practice, often as profit-participating loan embodied.
- Exit fee / backend fee: fixed or percentage one-off amount upon repayment or sale, regardless of actual profit.
When do lenders require an equity kicker?
The closer a financing moves to equity, the sooner the risk is remunerated depending on the success. In case of Mezzanine capital in the low ranking, high runs or projects in the early phase, a kicker is common; at moderate risk, it can often be negotiated away against a higher fixed interest rate. For the property developers, this is a computing task: The kicker saves cash flow during the construction phase, but costs part of the margin if successful.
Negotiation practice: What matters
Decisive are the tax base (profit before or after what costs?), time (exit, completion, refinancing), cap and dilution protection – details that are given in the Term sheet are fixed. In the mediation of Mezzanine capital several offers side by side and make fixed-rate, kicker and mixed models comparable; background to the conditions explains the guide Mezzanine interest rates.
Frequently asked questions
Equity Kicker – briefly answered
How High Is an Equity Kicker Typically?
Depending on the risk and structure, a participation in the low to medium double-digit percentage range in the project profit or an exit fee of a few percent of the loan amount is customary on the market. There are no fixed standards; the height is a matter for negotiation.
What is the Difference Between Real and Virtual Equity Kicker?
In the case of a real kicker, the lender receives real company shares and participation rights; in the case of a virtual kicker, the success is only replicated by legal obligations – the developer retains full control over his company.
Can an equity kicker be avoided?
Often yes: against higher fixed interest rates, more equity, better rank or additional collateral. Whether this makes economic sense, shows the comparison of several investor offers.
