Land Charge Priority: Rankings in the German Land Register

The rank of a land charge determines who will be served first in the enforcement scenario – and thus the risk and price of each financing tranche.

Last updated: 18 July 2026 · Reviewed by Jürgen Kronawitter

In brief: The Land charge priority designates the order in which liens are entered in Division III of the land register. In a compulsory use, the proceeds are distributed strictly according to this order of precedence: first the first rank completely, then the second and so on. The rank therefore determines the risk and interest rate of a financing.

How does the ranking in the land register come about?

Basically, the priority principle applies: Who is registered first, has the better rank. The order of registration shall be decided within the same division and the date of registration between divisions II and III. However, the participants can design the order of precedence contractually – via Resignation of rank (one senior creditor resigns after another), Priority reservation (the owner reserves the right to later register a priority right) or Priority change with the consent of all concerned.

Why the rank decides on the conditions

Rank in Structuring Practice

In the case of multi-level capital structures, an intercreditor agreement regulates the interaction of the ranks: Who is allowed to execute when, how are proceeds distributed, what rights does subordination have in the event of disruptions? For property investors, the rank is also the key to Additional borrowingFree ranks behind a partially repaid first-ranking financing can be used to draw liquidity from the property – without touching on the existing financing. We structure such ranking architectures across all tranches, from Senior loans until the Mezzanine capital.

Frequently asked questions

land charge rank – briefly answered

What does subordination mean for a land charge?

In the case of subordination, one creditor resigns with his lien after another. This is customary if a new bank requires the first rank, although an older land charge is already registered.

Can a land charge be borrowed in second place?

Yes – this is exactly what subordinated loan and additional borrowing build on. The lenders in the second place carries a higher risk and requires a higher interest rate; the remaining impairment after the first place is decisive.

Where is the rank in the land register?

Basic liens are in Division III of the land register. The order of precedence shall be given by the serial number and registration endorsements; changes in ranking shall be expressly noted.
